1. Acceptance of Terms
Welcome to PUIUX. These Terms of Service ("Terms") constitute a legally binding agreement between you and PUIUX ("the Company" or "we") governing your use of puiux.com and any related services.
By using the site or contacting us through any of our forms, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to any provision, please discontinue use of the site.
If you act on behalf of a company or legal entity, you represent that you have full authority to bind that entity to these Terms.
2. Definitions
For the purposes of these Terms, the following terms have the meanings set forth:
- "Site" or "Service": the puiux.com website and any related subpages or programming interfaces.
- "Content": all text, images, code, designs, logos, graphics, videos, and other materials published on the site.
- "User" or "you": any natural or legal person using the site or contacting us through it.
- "Client": a user entering into a contractual relationship with PUIUX under a separate services agreement.
- "Project Contract" or "Service Agreement": a separate written agreement governing the execution of a specific project, defining scope, pricing, timelines, and obligations.
3. Our Services
PUIUX provides via this site marketing information about its services and a channel to request quotes. Our core services include:
- Mobile app development for iOS and Android.
- Web applications and custom software platforms.
- UI/UX design.
- Dashboards and administrative systems (SaaS).
- Technical consulting and digital feasibility studies.
- Post-launch maintenance and support.
Quotes and prices displayed on the site — if any — are indicative and do not constitute a binding contractual offer unless a services agreement signed by both parties is executed. The Company reserves the right to modify its service scope or discontinue any service at any time without prior notice.
4. User Obligations
By using the site, you undertake to:
- Provide accurate, up-to-date information in any form or communication.
- Not use the site for any unlawful purpose or in violation of Saudi regulations.
- Not attempt unauthorized access to any part of the site or related systems.
- Not use automated tools (bots, scripts, scrapers) to harvest site data without prior written permission.
- Not upload or transmit any content containing viruses or malicious code.
- Respect intellectual property rights of the site and of third parties.
- Not impersonate any person or entity, or provide misleading information.
The Company reserves the right to restrict or block access to the site from any user violating these obligations, without prior notice.
5. Intellectual Property
All intellectual property rights related to the site — including without limitation: design, logo, text, source code, databases, and the "PUIUX" trademarks — are the exclusive property of PUIUX and are protected under Saudi copyright and trademark laws and relevant international treaties.
You are granted a limited, personal, non-transferable license to view the content for informational purposes only. You may not:
- Copy, reproduce, or republish the content in any form or medium.
- Modify or create derivative works from the content.
- Use any part of the content for commercial purposes.
- Remove or alter any copyright or trademark notices.
For contracted client projects: ownership of final deliverables (source code, designs, assets) transfers to the client upon full payment of the contract value, while PUIUX retains its internal tools, libraries, and accumulated expertise used in execution. The specifics of this transfer are detailed in each project's contract.
6. Commercial Engagements
Submitting a contact form or quote request does not create a contractual obligation on you or us. A contractual relationship arises only after:
- Both parties sign a Statement of Work (SOW) defining the scope.
- Written agreement on pricing, timelines, and delivery criteria.
- Payment of the agreed deposit, if any.
All commercial contracts are governed by the terms of that separate contract, and in case of conflict the project-specific contract takes precedence over these general Terms.
Client invoices are issued in Saudi Riyal plus VAT in accordance with applicable Saudi regulations. Accepted payment methods include domestic bank transfer and electronic invoices compliant with the Zakat, Tax and Customs Authority's e-invoicing system.
7. Warranties and Disclaimer
We make reasonable efforts to ensure the accuracy of information published on the site and its continuous availability, but we do not warrant that:
- The site will be available without interruption or error at all times.
- Marketing information and indicative figures apply to your specific case without detailed evaluation.
- The site is entirely free of security vulnerabilities despite implemented technical controls.
- The site is compatible with every browser, device, and OS version.
The site and its content are provided "as-is" without warranties express or implied beyond what Saudi law requires. Warranties for deliverables to contracted clients are defined precisely in each project's contract and typically include a contractual warranty period for fixing material defects arising from implementation.
8. Limitation of Liability
To the maximum extent permitted by Saudi law, PUIUX, its team, and its partners shall not be liable for:
- Any indirect, incidental, consequential, or special damages arising from your use of the site.
- Loss of profits, data, or business interruption resulting from reliance on indicative site information.
- Acts or omissions of third parties (hosting providers, analytics providers, etc.).
- Damages arising from your use of the site in violation of these Terms or applicable law.
If our liability to you is established for any reason, our total aggregate liability is limited — to the maximum extent permitted by law — to the amount you have actually paid us within the twelve months preceding the cause of action, or one thousand Saudi Riyals, whichever is lower, unless a signed services agreement specifies a different cap.
This clause does not limit liability arising from fraud, misrepresentation, or gross breach where limitation is not permitted by law.
9. Indemnification
You agree to indemnify and hold PUIUX harmless from any claims, damages, or losses (including reasonable legal fees) arising from:
- Your breach of these Terms or any applicable law.
- Your unauthorized or unlawful use of the site.
- Your violation of any third party's rights, including intellectual property or privacy rights.
- Any content you post or submit through the site.
10. Termination
The Company may at any time, without prior notice, restrict, suspend, or terminate your access to the site in whole or in part if the Company determines, in its reasonable discretion, that you have breached any of these Terms.
Upon termination, the following provisions survive by their nature: intellectual property, limitation of liability, indemnification, governing law, and dispute resolution.
11. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Shariah principles are the supreme reference wherever no statutory provision applies.
Any dispute arising from or related to these Terms or the site shall first be attempted to be settled amicably through direct negotiations for at least thirty (30) days. If amicable settlement is not reached, the matter shall be referred to the competent courts of the city of Riyadh, Saudi Arabia, which shall have exclusive jurisdiction.
12. Force Majeure
The Company is not liable for any delay or breach of its obligations arising from circumstances beyond its reasonable control, including without limitation: wars, acts of terrorism, natural disasters, epidemics, political disruptions, general internet outages, large-scale cyber attacks, or government decisions.
13. Changes to Terms
The Company reserves the right to update these Terms from time to time. Upon publishing any update, we refresh the "Last updated" date at the top of the page. Updated Terms take effect from the date of their publication, and your continued use of the site thereafter constitutes your acceptance of the updates.
You are advised to review this page periodically for any updates.
14. Miscellaneous
If any provision of these Terms is held unenforceable for any reason, the remaining provisions shall remain in full force.
The Company's failure to enforce any right under these Terms shall not be deemed a waiver of that right.
You may not assign your rights or obligations under these Terms to any third party without the Company's prior written consent.
These Terms, together with the Privacy Policy and any applicable project contract, constitute the entire agreement between the parties regarding the subject matter.
